Terms of Service

1. What BarkX is

BarkX is a decentralized, community-operated ecosystem. It is not owned or operated by any company, foundation, or other legal entity. The ecosystem is maintained by an open group of contributors and governed by consensus; its on-chain components are autonomous smart contracts deployed on public blockchains that no single party controls.

In these Terms, "BarkX", "we", "us" and "our" refer collectively to the contributors who maintain the ecosystem, and "you" refers to any person who accesses or uses the Services. Nothing in these Terms creates a partnership, joint venture, employment, fiduciary, or agency relationship between you and any contributor.

2. Scope of the Services

These Terms cover: (a) the website at barkx.xyz and its subdomains; (b) BarkX Chat and BarkX Assistant; (c) the BarkX Node Mining Pool and any other web interface that lets you interact with BarkX smart contracts; and (d) any other application, agent, or hardware that is published under the BarkX name and links to these Terms (together, the "Services").

Individual applications may publish additional terms. Where they conflict with these Terms, the application-specific terms prevail for that application only.

3. Eligibility and restricted use

You must be at least 18 years old and have full legal capacity to enter into these Terms.

You may not use the Services if you are located in, organized in, or a resident of any jurisdiction where doing so would be unlawful, or if you are a person or entity subject to sanctions administered by the United Nations, the United States (including the OFAC SDN list), the European Union, the United Kingdom, or Singapore. You are solely responsible for determining whether your use of the Services is lawful in your jurisdiction and for complying with all applicable laws, including tax obligations.

4. Non-custodial nature of the Services

The Services are interfaces. They do not hold, custody, or control your digital assets or private keys at any time. All on-chain actions are executed by your own wallet software and signed with your own keys. We cannot access your wallet, reverse a transaction, recover lost keys, or freeze funds.

There are no user accounts. Your wallet address is your identity within the Services.

5. Digital assets

Vector Nexus (VN) is a non-fungible credential issued on Arbitrum One that records a node's qualification and entitlements within the ecosystem. BARKX is an ERC-20 token on Arbitrum One that functions as the ecosystem's unit of account for contribution and consumption.

VN and BARKX are utility credentials for participation in the BarkX ecosystem. They are not shares, securities, bonds, derivatives, deposits, or investment contracts; they confer no ownership, dividend, profit-share, voting, or redemption rights in any entity; and no one promises that they will hold or increase in value or remain liquid. They may become worthless.

Any economic parameters of the ecosystem (issuance schedules, staking terms, fee rates, reward mechanisms) may be changed by community consensus or by the operation of the smart contracts themselves, without notice to you.

6. Risks you accept

By using the Services you acknowledge and accept, among others, the following risks:

• Irreversibility. Blockchain transactions cannot be undone. Sending assets to the wrong address, approving the wrong contract, or signing a malicious transaction results in permanent loss.
• Smart-contract risk. Contracts may contain bugs or be exploited despite audits.
• Market risk. Digital-asset prices are highly volatile and may fall to zero.
• Regulatory risk. Laws affecting digital assets and AI change rapidly and may restrict or prohibit your use of the Services.
• Network risk. Congestion, forks, outages, or attacks on Arbitrum One, Ethereum, or other networks may delay or prevent transactions.
• Third-party risk. Wallets, bridges, exchanges, and AI model providers are outside our control.
• AI risk. Outputs of AI models may be inaccurate, incomplete, or misleading.

7. AI outputs and agent actions

BarkX Chat and BarkX Assistant generate responses using artificial-intelligence models, including models operated by third parties. AI output is provided for information and convenience only. It is not financial, investment, legal, tax, or other professional advice, and you should not rely on it as such.

When BarkX Assistant proposes an on-chain action, nothing is executed until you review and sign the transaction in your own wallet. You are solely responsible for every transaction you approve, including its parameters, counterparties, and consequences.

8. Acceptable use

You agree not to: (a) use the Services for any unlawful purpose, including money laundering, terrorist financing, fraud, or sanctions evasion; (b) attack, overload, probe, or interfere with the Services or the networks they rely on; (c) exploit any vulnerability in the smart contracts or interfaces; (d) scrape, harvest, or reverse-engineer the Services except as permitted by an open-source license; (e) impersonate BarkX or any contributor; or (f) use the Services to generate content that is illegal, harmful, or infringes the rights of others.

9. Third-party services

The Services link to or rely on services operated by third parties, including wallet providers, blockchain networks, AI model providers, Discord, GitBook, and form providers. Your use of those services is governed by their own terms and privacy policies. We are not responsible for their availability, content, or conduct.

10. Intellectual property

Components of the Services released under open-source licenses may be used according to those licenses. The BarkX name, logos, and visual identity may not be used to suggest endorsement or affiliation without permission. You retain all rights in the content you submit to the Services.

11. Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. NO CONTRIBUTOR WARRANTS THAT ANY SMART CONTRACT IS FREE OF DEFECTS OR THAT ANY DIGITAL ASSET WILL HAVE OR RETAIN ANY VALUE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NO CONTRIBUTOR TO BARKX SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DIGITAL ASSETS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF ALL CONTRIBUTORS FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD 100).

13. Indemnification

You agree to indemnify and hold harmless the contributors to BarkX from any claim, loss, liability, or expense (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.

14. Changes and discontinuation

We may modify these Terms at any time by posting an updated version at this address with a new "last updated" date. Your continued use of the Services after a change constitutes acceptance. Any part of the Services may be modified, suspended, or discontinued at any time without notice.

15. Governing law and dispute resolution

These Terms are governed by the laws of the Republic of Singapore, without regard to its conflict-of-laws rules.

Any dispute arising out of or in connection with these Terms or the Services, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Rules in force at the time the arbitration commences. The seat of arbitration shall be Singapore, the tribunal shall consist of one arbitrator, and the language of the arbitration shall be English.

You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

16. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Failure to enforce any provision is not a waiver. These Terms are the entire agreement between you and BarkX regarding the Services.

These Terms are written in English. Translations are provided for convenience only; in case of any inconsistency, the English version prevails.
